Services are currently available to customers located within the United States. We make no representation that the Site or services are appropriate or available for use outside of the United States, and accessing the Site from territories where its content or services are illegal is prohibited.

3. User Accounts and Registration

Certain features and functionalities of the Site may require you to create a user account. When registering for an account, you agree to:

4.1 General User Obligations

4.2 Prohibited Activities

You expressly agree that you will not, under any circumstances:

• Use the Site for any unlawful, fraudulent, or deceptive purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to any portion of the Site, other user accounts, or any computer systems or networks connected to the Site;
• Use automated tools, bots, scrapers, crawlers, or other software to access, extract, or collect data from the Site without prior written consent from Wing Snob;
• Introduce viruses, malware, ransomware, Trojan horses, worms, spyware, or any other harmful or malicious code to the Site;
• Engage in any conduct that restricts, impairs, or inhibits any other user from using or enjoying the Site;
• Post, transmit, or disseminate any defamatory, obscene, abusive, threatening, harassing, or otherwise objectionable content;
• Misrepresent your identity or impersonate any person or entity, including Wing Snob employees or representatives;
• Use the Site in any manner that could damage, disable, overburden, or impair our servers, networks, or infrastructure;
• Attempt to reverse engineer, decompile, disassemble, or otherwise extract the source code of the Site or any of its components;
• Place fraudulent orders, engage in chargebacks without legitimate cause, or abuse promotional offers or loyalty programs;
• Collect or harvest any personal information of other users from the Site without their explicit consent;
• Use the Site to send unsolicited commercial communications, spam, or chain letters.

Wing Snob reserves the right to investigate any suspected violations of these Terms and to take appropriate legal action, including without limitation civil, criminal, or injunctive relief, against any User who violates these provisions.

5. Intellectual Property Rights

The Site and all of its contents, features, and functionality — including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the overall design, layout, and "look and feel" of the Site — are the exclusive property of Wing Snob and/or its licensors and are protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

The Wing Snob name, logo, brand identity, and all related names, logos, product and service names, designs, and slogans are registered or unregistered trademarks of Wing Snob. You are expressly prohibited from using any such marks without the prior written consent of Wing Snob. Any unauthorized use of Wing Snob's intellectual property may constitute infringement under applicable law and will be vigorously enforced.

Subject to your compliance with these Terms, Wing Snob grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial purposes. This license does not include the right to:

• Modify, copy, reproduce, or create derivative works of any portion of the Site;
• Sell, resell, or commercially exploit any portion of the Site or its content;
• Frame or mirror any portion of the Site on any other website or platform without Wing Snob's express written consent;

6. Payment Terms

Wing Snob accepts various forms of payment for online orders, including major credit and debit cards, digital wallets, and other payment methods as displayed at checkout. By submitting a payment, you represent and warrant that:

• You are authorized to use the payment method provided;
• The payment information you provide is true, correct, and complete;
• You authorize Wing Snob to charge the full amount of your order to your designated payment method.

All prices displayed on the Site are in United States Dollars (USD) and are subject to applicable sales tax, delivery fees, and service charges, which will be disclosed at checkout prior to order confirmation. Wing Snob does not endorse, recommend, or make any representation about any third-party website, product, or service. Your access and use of third-party platforms is entirely at your own risk.

8. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Wing Snob expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• Warranties that the Site will be available, uninterrupted, secure, error-free, or free from viruses or other harmful components;
• Warranties regarding the accuracy, completeness, reliability, timeliness, or usefulness of any content, information, materials, or services provided through the Site;
• Warranties that any defects in the Site or its content will be corrected.

Wing Snob does not warrant the accuracy of any nutritional, allergen, or ingredient information displayed on the Site. Menu items and ingredients may vary by location and are subject to change. Customers with food allergies, dietary restrictions, or medical conditions are advised to exercise caution and consult directly with Wing Snob staff before placing an order.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, some of the above exclusions may not apply to you, and your rights may vary accordingly.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Wing Snob, its affiliates, officers, directors, employees, agents, licensors, suppliers, or service providers be liable for any of the following, regardless of the legal theory under which such liability is claimed (including contract, tort, negligence, strict liability, or otherwise) and even if Wing Snob has been advised of the possibility of such damages:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages;
• Loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings;
• Damages arising from your inability to access or use the Site or services;
• Damages resulting from unauthorized access to or alteration of your data or communications;
• Damages arising from any third-party content, products, or services accessed through the Site;
• Damages arising from food allergic reactions, dietary complications, or illness where the customer failed to disclose known allergies or conditions prior to ordering.

In jurisdictions where limitation of liability for incidental or consequential damages is not permitted, Wing Snob's liability shall be limited to the maximum extent permitted by applicable law.

In no event shall Wing Snob's total aggregate liability to you for all claims arising out of or relating to your use of the Site or services exceed the greater of (i) the total amount paid by you to Wing Snob in the twelve (12) months preceding the claim giving rise to liability, or (ii) one hundred United States Dollars ($100.00 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of the Site or services, including any orders placed through the Site;
• Any User Content you submit, post, or transmit through the Site;
• Your violation of the intellectual property or other rights of any third party;
• Any misrepresentation made by you in connection with your use of the Site;
• Your failure to disclose relevant food allergies, dietary requirements, or medical conditions that may affect your safety when consuming Wing Snob's food products.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Wing Snob in asserting any available defenses. You shall not settle any such claim without Wing Snob's prior written consent.

11. Food Safety and Allergen Notice

Wing Snob takes food safety seriously and strives to comply with all applicable federal and state food safety regulations, including those enforced by the United States Food and Drug Administration (FDA) and relevant state and local health authorities. Our food products may be prepared in facilities that handle common allergens including but not limited to: peanuts, tree nuts, wheat, gluten, dairy, eggs, soy, fish, and shellfish.

Cross-contamination is possible in our kitchen environments. Wing Snob cannot guarantee that any menu item is completely free of allergens. Customers with known food allergies, intolerances, or dietary restrictions are strongly encouraged to contact us directly before ordering to discuss their needs. Wing Snob shall not be liable for allergic reactions or adverse health effects arising from a customer's failure to disclose relevant health information prior to ordering.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the services provided by Wing Snob — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory — shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to any conflict of law provisions.

To the extent any legal action is not subject to mandatory arbitration as set forth in Section 13, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States and agree to waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

Wing Snob's operations are subject to federal consumer protection laws enforced by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 41 et seq.), which prohibits unfair or deceptive acts and practices in commerce. Nothing in these Terms shall be construed to limit any rights you may have under applicable federal or state consumer protection laws.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting Wing Snob at [email protected] with a written description of the dispute and your desired resolution. Wing Snob will attempt to resolve the dispute within thirty (30) calendar days of receiving your written notice. If the dispute cannot be resolved informally within that period, either party may proceed to binding arbitration as set forth below.

13.2 Binding Arbitration

To the fullest extent permitted by applicable law, any dispute, claim, or controversy between you and Wing Snob that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Nothing in this Section shall prevent Wing Snob from seeking and obtaining equitable relief in any court of competent jurisdiction.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or any services provided by Wing Snob. Wing Snob reserves the right, in its sole discretion and without prior notice, to:

• Suspend or terminate your access to the Site or any portion thereof for any reason, including but not limited to violation of these Terms;
• Delete your user account and any associated data, consistent with our Privacy Policy;
• Discontinue the Site or any service, feature, or functionality in whole or in part at any time.

Upon termination or suspension of your access:

• Your license to use the Site shall immediately terminate;
• All provisions of these Terms that by their nature should survive termination shall survive, including without limitation intellectual property provisions, disclaimers, indemnification obligations, and limitations of liability;
• Any outstanding payment obligations incurred prior to termination shall remain enforceable.

15. Changes to Terms

Wing Snob reserves the right, at its sole discretion, to modify, amend, update, or replace these Terms of Service at any time. Your continued use of the Site or services following the effective date of any such modifications constitutes your binding acceptance of the updated Terms. If you do not agree to the revised Terms, you must immediately cease accessing and using the Site and, if applicable, deactivate your account.

17. Severability

If any provision of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, unlawful, void, or unenforceable for any reason, such provision shall be deemed modified to the minimum extent necessary to make it enforceable. If such modification is not possible, the provision shall be severed from these Terms.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect. The parties agree that a court or arbitrator shall have the authority to modify any invalid or unenforceable provision to reflect the parties' original intent as closely as possible.

18. Waiver

No waiver by Wing Snob of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver will only be effective if made in writing and signed by a duly authorized representative of Wing Snob.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Wing Snob on the Site, constitute the entire agreement between you and Wing Snob with respect to your use of the Site and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof.

No joint venture, partnership, employment, agency, or fiduciary relationship is created between you and Wing Snob as a result of these Terms or your use of the Site and services.

20. Force Majeure

Wing Snob shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from causes beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or regulations, power outages, telecommunications failures, civil unrest, war, terrorism, labor disputes, or supply chain disruptions. In the event of a force majeure event, Wing Snob will use commercially reasonable efforts to mitigate the impact of such event and resume normal operations as soon as reasonably practicable.
